Andrew Borodach joined American International Group, Inc. (AIG) as an assistant general counsel in the M&A legal group in 2005 and, since the beginning of 2008, has managed its day-to-day operations. Prior to joining AIG, Mr. Borodach was an associate with Debevoise & Plimpton LLP for seven years, including a three-year assignment in its London office.

Mr. Borodach has worked on major US and cross-border transactions for both private equity and corporate clients. He currently focuses his practice on mergers and acquisitions, with an emphasis on international transactions in the financial services and insurance sectors.

Mr. Borodach is a member of the administrative committee of The Jewish Center of Manhattan.

Mr. Borodach received his B.A. magna cum laude from Brown University in 1993 and his J.D. cum laude from Harvard Law School in 1997.

Mr. Borodach's recent representation of AIG and its affiliates include:

  • Acquisition by affiliates of AIG of the 60% interest not already owned by it in Ascot Underwriting Holdings Limited, a Lloyd's managing agent.
  • Investment by AIG Consumer Finance Group, Inc., together with KfW and International Finance Corporation, in a microcredit joint venture in China.
  • Acquisition by AIG Philam Savings Bank, Inc. and The Philippine American Life and General Insurance Company from Ford Credit International, Inc. of its interest in Primus Finance and Leasing, Inc. and its holding company, PFL Holdings, Inc., which are in the auto finance business in the Philippines.
  • Acquisition of outstanding interest in Kinder Morgan, Inc. by management and a consortium comprising of AIG, Goldman, Sachs & Co., The Carlyle Group and Riverstone Holdings LLC.
  • Acquisition by American General Finance Corporation of Ocean Finance and Mortgages Limited, a leading finance broker for home owner loans in the U.K.
  • Acquisition by American Home Assurance Company of portfolio of insurance policies relating to its United States ocean marine book of business from Arch Insurance Company.
  • Acquisition by AIG Direct Marketing Co., Ltd. of Central Insurance Co., Ltd., a leading publicly-traded Taiwanese general insurance company.
  • Sale by Hayleys AIG Insurance Company Limited of life insurance portfolio to Sri Lanka Insurance Corporation Limited.
  • Acquisition by AIG Travel Services, Inc. of the Travel Guard Group, a leading distributor of travel insurance, from John Noel and certain affiliates.
